Pros
Easy installation. Low memory usage. Background operation.
Cons
Not a lot. You can uninstall it after running it to clean up the user registry, but it's just as easy to leave it in place.
Summary
Reduced my shut down from more than 5 min to maybe 40 sec.

Pros
My Win2K shutdown time got so slow I often just yanked the plug. After using this the shutdown time is very reasonable. It runs invisibly as the uphclean.exe process. Doesn't use much memory...
Cons
Did not notice any improvement on Windows XP.
